STANDARD TERMS AND CONDITIONS
 

The following standard terms apply to the provision of translation services by Delphic Translation (referred to below as the "Certified Translator"), pursuant to an agreement reached by the Certified Translator and the Client (the "Parties").

Translation

Documents are translated by the Certified Translator from French or Italian to English. The translation process includes initial document review, research, translation, draft review and translation finalization.

Rates

The Parties shall agree upon a rate to be applied to the translation services prior to commencement of the services. Verbal estimates shall be subject to written confirmation after receipt and review of the text to be translated.

Delivery

The parties shall agree on the date and time of the finished work. Delivery charges of hard copy documents shall be invoiced to the client.

Payment

Payment shall be made within 15 days of the date of the invoice. The Certified Translator reserves the right to charge interest of 5% per month on late payments.

Copyright

The Client warrants to the Certified Translator that the Client has full right, power and authority to have the aforementioned work translated, and that the translation thereof by the Certified Translator will not result in the infringement of any existing copyright. The Client agrees to indemnify and save harmless the Certified Translator against any claim, action, loss or damage incurred by the Certified Translator as a result of any breach of this warranty.

It is understood that translations are protected works under the Copyright Act and may not be reproduced or otherwise used in breach of the translator's copyright. The Certified Translator hereby assigns his/her copyright in the work contemplated herein to the Client, but such assignment shall be conditional upon the Certified Translator having received full payment for services rendered in accordance with the terms of this agreement.

Cancellation

If the request for translation is cancelled before completion of the work, the Certified Translator shall be compensated in proportion to the work performed.

Liability of the translator

The liability of the Certified Translator shall be limited to the total value of the contract. Furthermore, the Certified Translator shall not be liable for alterations made to her work by other persons.

Arbitration

Any dispute between the Certified Translator and the Client concerning the quality of the work may be submitted to the Evaluation and Arbitration Committee of the Association of Translators and Interpreters of Ontario for an objective professional evaluation. Both parties undertake to abide by the decision of this Committee. If the work is considered unsatisfactory, the liability of the Certified Translator shall not exceed the amount of the fees requested for the work.
